GENERAL TERMS AND CONDITIONS - Updated on 12/06/24
Premises: these General Terms and Conditions of Contract and the Contract Proposal indicated on the front ("Proposal") constitute a single body of rules (hereinafter the "Contract") and govern the relationship between Hospinet Infrastructure Pvt Ltd resellers of 1verse Real Estate under brand bame “1verse Italia” ("1verse Italia") and the customer identified in the Proposal (the "Client"). The Client also declares that he/she has read, is aware of and accepts the general terms and conditions and terms of service published on re.1verse.live at the link https:// re.1verse.live/ terms/.
1 Object.
1.1. The Contract concerns both the supply by 1verse Italia of the services indicated in the Proposal (the "Services") offered through re.1verse.it (the "Portal") and other portals that may be connected (by way of example but not limited to: 1verse Italia; together with the Portal, the "Portals"), and the license to use the software as governed by art. 13. In the provision of the Services and in the license to use the software, re.1verse.it may make use of the activity of third parties, without prejudice to its full responsibility towards the Customer.
1.2. The Agreement and the general terms and conditions and terms of service available to all advertisements published on the Portals.
2. Conclusion of the Contract
2.1. The Contract is considered concluded and capable of producing effects only at the time of activation of the Services by 1verse Italia.
3.Duration
3.1. The duration of the Contract is as indicated in the Proposal; There is no tacit renewal.
3.2. The termination, for any reason, of the effects of the Contract shall not cease the Client's obligation to pay the amount due indicated in the Proposal ("Amount") until the last day of effectiveness of the Agreement.
4.Material, Texts, Images
4.1. The Client undertakes to make appropriate use of the Services, not to use them for illegal, unlawful or criminal activities, to violate the rights of third parties and/or regulations relating to intellectual property, or any other rule of the legal system or to use the Services for purposes other than those provided for herein.
4.2. 1verse Italia has the right to verify the real estate listing. In all cases in which it finds discrepancies, it may ask the Client to modify the text and/or image or proceed pursuant to art. 7.1.
4.3. The Client undertakes to keep and keep an up-to-date copy of the published information at all times. In the event of a request for advertisements that are no longer online, 1verse Italia may provide the data only following a reasoned request by a public authority.
5.Obligations, Responsibilities and Indemnity of the Client
5.1. Without prejudice to the provisions of art. 4 above, the Client is aware of the fact that he/she will have to independently create his/her own profile, real estate listings, whose content and/or images must be strictly relevant and/or related and not be detrimental to the image of 1verse Italia and to the rights of third parties.
5.2. The Client must enter data and information as indicated in the area of competence.
5.3. The Client is responsible for uploading his/her real estate listings, texts and contents, even in the event that the same, on the basis of the service purchased, can expressly publish content already present on the Portal.
5.4. In any case, all uploaded content must relate to units for which the Client has received an intermediary mandate or can in any case dispose of them also with regard to texts and images, undertaking to give a complete representation of them in accordance with reality.
5.5. The Client undertakes to communicate his/her contact details and references to 1verse Italia and assumes full responsibility for his/her professional qualification. It undertakes to provide 1verse Italia with any modification of the data provided in the Contract within 10 (ten) days from the occurrence of said event.
5.6. The Client is solely and exclusively responsible for the content of the published real estate advertisements and undertakes to indemnify and hold harmless 1verse Italia from any claim and/or action and/or exception that may be addressed to 1verse Italia by third parties.
5.7. The Client is responsible for the preservation and secrecy of the access credentials and undertakes to immediately notify any unlawful use.
5.8. The Client undertakes not to resell the 1verse Italia Services.
5.9. The Client is required to use the contacts obtained through the Services provided by 1verse Italia only for the purposes intended by each of the aforementioned Services. It is expressly forbidden for the Client to: a) use the data obtained through the Services to carry out aggressive advertising activities, subscriptions to newsletters, advertising communications. Etc.; b) transfer the data obtained through the Services to third parties.
5.10. It is understood that, in any case, no responsibility can be attributed to 1verse Italia for the failure to sell and/or rent the properties and/or any other asset to which the advertisement refers. Similarly, no liability can be attributed to 1verse Italia in relation to and/or dependence on information that may be harmful to the rights of third parties that may be contained in the advertisement; on the contrary, any liability will be attributable exclusively to the Client.
5.11. 1verse Italy provides scanning services to its Pro agents on the platform and gives them the flexibility to list the property as exclusive to their agency's listing or share it in the "Network Properties" section which will make the property scan visible to all agents on the platform. It is understood that the Agency, while choosing the "Network Platform" option, is willing to share up to 2% of the revenues with the Network agent on the client's sourcing platform. However, it is explicitly specified that the responsibility for the distribution of revenues must be carried out separately between the agents and 1verse Italia does not assume any responsibility in the operation of revenue sharing. It is the responsibility of the agent on the 1verse Italia platform to check with the other agent before proposing a "Network Property" to their clients about revenue sharing of up to 2% to the agent who brings the client.
6.Permissions
6.1. 1verse Italia may perform the services referred to in this Contract on other Portals with the same purpose and operating in the same sector or reproduce the content of the advertisements, even in re-established form, on the pages of the social networks of 1verse Italia linked.
7.Defaults
7.1. In the event of non-compliance by the Client with the obligations referred to in articles 4.1., 5.1., 5.3., 5.4., 5.8 and 5.9., or improper use of the Services, Italy reserves the right to refuse, suspend, obscure, even partially, remove or limit the visibility of the advertisement.
7.2. In the event of late, partial or non-payment of the Amount, 1verse Italia reserves the right to suspend, obscure, even partially, remove or limit the visibility of all advertisements relating to all contractual relationships in place with the defaulting Customer.
7.3. Real estate in case of violation of art. 5.2. may reduce the visibility, including of all advertisements published by the Client. The order of the ads in the search lists is linked to the completeness and correctness of the information entered.
7.4. 1verse Italy in the event that the hypotheses referred to in paragraphs 7.1., 7.2., 7.3 occur. The above may not be considered in default in any way and may require the Client to pay the entire Amount and a penalty equal to 1/3 (one third) of the Amount, in addition to default interest on the sums due and any expenses resulting from the non-compliance, without prejudice to the possibility of compensation for greater damages.
8.Termination and Withdrawal
8.1. 1verse Italia may terminate the Contract early, without the need for prior formal notice, as well as in the cases referred to in art. 7.1., 7.2. and 7.3., even if enforcement has commenced in the following cases: a) opening of insolvency proceedings, voluntary or compulsory liquidation at the expense of the Client or cessation of activity; b) impossibility, also for reasons beyond the Client's control, including the occurrence of new regulatory provisions, to execute the Contract under the conditions and within the terms established herein.
8.2. In such cases, the termination will operate by law, upon receipt of the written communication by certified e-mail or registered letter with acknowledgement of receipt from the Customer.
8.3. 1verse Italia may withdraw from the Contract with at least 15 days' notice by giving written notice to the Client by certified e-mail or registered letter with acknowledgement of receipt
9.Intellectual and industrial property
9.1. The parties shall retain exclusive ownership of their trademarks and other distinctive signs, logos and domain names, as well as intellectual property rights, patents, utility and ornamental models and registered ornamental designs. This Agreement shall never be construed as granting a license or transfer of ownership of the rights claimed by either party in the trademarks and trade dress, logos and domain names, as well as intellectual property rights and patents, models and designs mentioned above in favor of the other party.
10.Force Majeure and Limitations of Liability
10.1. Under no circumstances shall 1verse Italia be held liable to the Client for its own breach, total or partial, or for the delay in the fulfilment of any of the obligations set out in this Contract, if such non-fulfilment/delay is attributable to third parties or to force majeure or unforeseeable circumstances.
10.2. Except in the cases provided for by mandatory laws, 1verse Italia's liability for any reason arising from this Agreement shall be limited to direct and foreseeable damages at the time of execution and shall not extend to indirect damages, including, but not limited to, loss of profit, loss of business, loss of opportunity, delay in collection, loss of data, etc., suffered by the Client, and may not exceed the total amount received.
11.Assignment of the Agreement and Credit
11.1. The Contract, as well as the rights and obligations arising from it, may not be transferred by the Client to third parties, free of charge or for consideration, even temporarily, without the prior written consent of Immobiliare.it.
11.2. The Agreement shall be binding upon and shall remain in effect with respect to the respective legal successors of the parties.
11.3. 1verse Italia is hereby authorized to assign the Contract and its rights and obligations, without the prior written consent of the Client, to any subsidiary or associated company pursuant to and for the purposes of Article 2359 of the Italian Civil Code, as well as to parent companies, subsidiaries of or affiliates of the common parent company, provided that the transferee assumes all rights and obligations of 1verse Italia towards the Customer under this Agreement.
12.Protection of personal data
12.1. Personal data means any information relating to a natural person (the "Data Subject"), which identifies or makes identifiable that person (pursuant to Article 4(1) of the GDPR). Processing of personal data means any operation or set of operations which is performed on personal data or on sets of personal data, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction (pursuant to Art. 4(2) GDPR).
12.2. The Data Controller of the data of the Data Subjects who intend to make use of the Client's professional work is the Client himself. 1verse Italia will act as external data processor of the Client (pursuant to Article 28 of the G.D.P.R.).
12.3. This article regulates the reciprocal obligations of the Client, in its capacity as Data Controller, and of 1verse Italia, in its capacity as external data processor, with regard to the processing of personal data. The Client authorizes 1verse Italia to process the personal data of the Data Subjects to the extent strictly necessary for the execution of the Contract.
12.4. The Client will provide 1verse Italia with personal data for which the consent of the interested parties has already been obtained, or only in cases where the processing is lawful pursuant to art. 6 G.D.P.R. In carrying out the processing of data, 1verse Italia undertakes to comply with the principles set forth in art. 5 G.D.P.R.
12.5. 1verse Italia guarantees that the authorized parties, pursuant to art. 29 G.D.P.R., to the processing of data are adequately instructed for this purpose. In the event that the authorized parties operate on the Client's systems as system administrators, 1verse Italia will also be required to comply with the Provision of the Guarantor for the protection of personal data of 27 November 2008, amended on the basis of the provision of 25 June 2009 (as amended).
12.6. The Client authorizes 1verse Italia to appoint any sub-processors of the procedure. At any time, the Client may request a list of sub-processors from 1verse Italia.
12.7. The Client authorizes 1verse Italia to enter into agreements with any sub-processors for the transfer of personal data to non-EU countries. which, pursuant to Article 45 of the G.D.P.R., have received an adequacy decision from the EU Commission. The Client also authorizes 1verse Italia to enter into agreements for the transfer of personal data to third countries that have not received an adequacy decision, on the sole condition that they contain the standard contractual clauses referred to in Decision 2021/914/EU, supported by appropriate technical and organizational measures. In this case, 1verse Italia will immediately notify the Client.
12.8. The processing of all data will take place, pursuant to art. 32 G.D.P.R., using tools suitable to guarantee security and confidentiality, and may also be carried out using automated tools designed to store, manage and transmit the data. If 1verse Italia has adhered to a code of conduct or has shown a certification, 1verse Italia must operate in compliance with the security measures provided for in the code of conduct or in the protocols relating to certification. In addition, 1verse Italia must assist the Client in ensuring compliance with the obligations set forth in art. 32-36 G.D.P.R. concerning "Security of processing", "Notification of a personal data breach to the supervisory authority", "Communication of a personal data breach to the data subject", "Data protection impact assessment", "Prior consultation".
12.9. The Client and 1verse Italia shall both keep a record of the processing of data pursuant to art. 30 G.D.P.R., specifying in detail the types of data processed, the subjects involved in the processing, the purposes and legal bases of the processing.
12.10. At the end of the assignment, 1verse Italia shall return the data subject to processing to the Client or delete such personal data and, in any case, shall delete the copies of the aforementioned data. Except in cases where the storage of data, beyond the aforementioned terms, is necessary to comply with legal obligations or to ascertain, exercise or defend one's rights in court.
12.11. In the event of violations of privacy legislation, where they cause material or immaterial damage to the Data Subject, 1verse Italia will be exempt from any liability if it is able to demonstrate that the harmful event is in no way attributable to it
12.12. The data provided to the Company may also be processed by the Company: 1) for the sending of promotional e-mails to the Client by the Company, pursuant to and within the limits of art. 130, paragraph 4 of Legislative Decree no. 196/2003; 2) with the Customer's consent, for the communication of data to third parties in order to send promotional communications and questionnaires on the level of customer satisfaction.
13.Software and License Limitations of Liability
13.1. 1verse Italia, with this Agreement, grants the Client a non-exclusive and non-transferable Licence to use the management software of which 1verse Italia is the legitimate owner and may, at its own discretion, make any implementations and improvements, which it will make available to the Client free of charge or for a fee, subject to the Client's acceptance. 1verse Italia owns the ownership rights of the original management software and all copies, regardless of the substrate used or the shape. This license does not grant you any rights to the original source code. All techniques, algorithms and procedures contained in the management software and related documentation are information protected by copyright and are the property of 1verse Italia; therefore, they cannot be used in any way by the Client and in any case for purposes other than those indicated in the Contract. The Client will be required to keep a copy of all the information on the Management System.
14.Miscellaneous
14.1. The nullity, voidability or ineffectiveness of one or more provisions of this Agreement shall not extend to the remaining provisions.
14.2. Any tolerance by one party to the other party's failure to comply with one or more clauses shall in no way be considered a waiver of rights under this Agreement.

Any communication relating to any purchase must be in writing and sent by registered mail with acknowledgment of receipt to Emerald 909, My Home Jewel, Madeenaguda, Miyapur, Hyderabad, 500049, India, or certified email: salesitalia@1verse.live, With reference to the Client to the addresses indicated by the same in the Proposal.
15.Jurisdiction by territory
15.1. In the event of a dispute, for any reason, including that relating to the rights of obligation arising from the Contract, the Court of Genoa or Court of Hyderabad shall have exclusive jurisdiction.

Security and privacy are at the core of our business practices and product offerings; we care deeply about protecting the personal information of our customers and website visitors. Our goal is to be as transparent and forthright as possible about the data we collect, with whom we share this data, and how this data is used. The data we collect includes: user information (name, email, physical address, company name, phone number, geographic location, payment information, etc.), digital information (IP address, browser information and history, device information, meta data, certain provided social media identifiers, etc.), and information from other sources (publicly available information, information you provide at seminars, information you consent to be provided to us by third parties, etc.).
